MASTER OFFER T&CS

These Master Offer Terms and Conditions (Master Offer Terms) apply to MonmouthBets offers (each, a “Promotion”). Each Promotion may have additional terms (“Promotional Terms”) that apply and those will be made available at or near references to the Promotion. A reference to “We”, “Us”, “Our” or “Promoter” means Darby Developments, LLC and BetMakers MTS, LLC together. A reference to “you”, “your” or “participant” is to the person to who holds a MonmouthBets Account and is offered a Promotion.

Redemption of any Promotion is strictly conditioned upon your acceptance and compliance with all the following Master Offer Terms and Promotional Terms.

Promotional Terms are deemed to be incorporated into and form a part of these Master Offer Terms. In the event of any discrepancy or conflict between these Master Offer Terms and any Promotional Terms, then the specific Promotional Terms shall prevail. The Promotional Terms for each Promotion in which you participate will be deemed incorporated into and form a part of these Master Offer Terms. You are solely responsible for reading the Promotional Terms to assess whether or not your participation, registration or entry into such a Promotion is valid.

ELIGIBILITY

1. Promotions are only open to individuals who at the date and time of entry: a. meet all eligibility requirements as detailed in the Promotional Terms; b. are not an Excluded Person (as defined in Our Account Terms); c. are physically located in the State of New Jersey; d. are eighteen (18) years of age or older; e. hold a MonmouthBets account which is active and not suspended.
2. Employees and immediate family members of Darby Developments, LLC, BetMakers Technology Group Limited and each of their respective affiliates, subsidiaries, retailers, distributors and each of such employees’ officers’ and directors’ immediate family members and/or those living in the same household (whether legally related or not) are not eligible to participate in any Promotion.
3. We reserve the right to limit or restrict eligibility to participate in any Promotion at our sole discretion and for any reason. Void where prohibited by law.
4. If during the course of any Promotion, you are suspended and unable to complete any or all requirements relating to eligibility, we will consider you to be ineligible for the Promotion and any money contributed up until such time will be forfeited.
5. If we become aware during the course of any Promotion that you have manipulated the Promotion to guarantee an outcome, uses one or more accounts to participate or any other behavior which in our sole discretion is deemed to go against the good faith offering of the Promotion, we reserve the right to, among other actions, (i) close your account; (ii) withhold any bonus or winnings from such transactions and (iii) restrict your entry into future promotions.

ENTRIES

1. To qualify for entry into a Promotion, all eligibility and timing requirements set forth in each Promotional Terms must be met.
2. All Promotions are limited to one (1) entry per Account unless otherwise specified in the Promotional Terms.
3. Multiple entries in any Promotion will not be accepted nor will entries in breach of these Master Offer Terms.
4. We reserve the right to exclude any participant from any Promotion if we believe a participant has either attempted to or successfully entered a Promotion by using more than one Account or is otherwise engaging in fraudulent activity (including participation that would breach the laws of the State of New Jersey). Where multiple entries/Accounts have been used, we reserve the right to cancel the entries into the Promotion, cancel the Account/s and withhold payment of any bonuses or associated winnings with the Promotion.

PROMOTION BONUS PAYOUT

1. Promotions may result in a participant being eligible for a bonus or reward (Bonus) as detailed in the Promotional Terms or associated advertising.
2. Unless otherwise detailed in the Promotional Terms, eligible participants will receive their Bonus within 5 business days from the end date of the relevant Promotion and this will be credited to an eligible Participant’s account.
3. Any participant who receives a Bonus will be solely responsible for all federal, state and local taxes, and any other fees or costs associated with the Bonus they receive, regardless of whether the Bonus is used in whole or in part. Bonus value may be reportable for tax purposes as required by law.
4. Any Bonus issued will be valid for the time stated in the Promotional Terms. Any remaining/unused Bonus at the end of the stated period will be forfeited and removed from the participant’s Account.
5. A Bonus may be awarded as a site credit or bonus bets/free bets (as may be amended from time to time).
6. A Bonus may not be used to take part in any other bonus or Promotion.

ADMINISTRATION

1. We reserve the right to suspend or cancel a Promotion without notice or prior warning at any time. Any matters concerning eligibility, these Master Offer Terms or any other matters relating to a Promotion will be determined at our sole discretion and will be final and binding.
2. No groups, clubs, corporations, companies, partnerships, syndicates or organizations may participate in any Promotion or reproduce or distribute any portion of these Master Offer Terms to their members
3. We shall not be liable to you for failure to provide services in the event any equipment, service or transmission cannot be provided by us or our contractors, due to an act of God, fire, epidemic, casualty, act or decision of a governmental authority, injunction, technical difficulties, failure of communications or electrical or telephone transmission lines or facilities, or any similar or dissimilar cause beyond our control, or the control of our contractors, representatives, or agents.

RELEASE AND WAIVER OF LIABILITY

1. By participating in and redeeming a Promotion, you agree to release, defend, indemnify and hold Us harmless (and each of Our respective parent corporations, subsidiaries, advertising and promotion agencies, affiliates, directors, officers, employees, representatives and agents from and against any and all liability claims or actions of any kind whatsoever (however named or described)) for injuries, death, damages or losses to persons and property which may be sustained in connection with: a. Participation in a Promotion; b. The receipt, use or misuse of the Bonus, or while preparing for, participating in, and/or traveling to any Promotion related activity, including those damages caused by Our own negligence. c. We expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent misuse of the Bonus. d. In consideration of the Bonus, you and each other individual hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of such individual’s name, photograph, likeness (including his/her/their voice), biographical information and statements concerning the Promotion, in any and all advertising, promotions and other publicity conducted by Us and each of Our respective parents, subsidiaries and affiliates.

GOVERNING LAW All issues and questions concerning the construction, validity, interpretation and enforceability of these Master Offer Terms or the rights or obligations of participants and entries in connection with a Promotion will be governed by and construed in accordance with the internal laws of the State of New Jersey, without giving effect to any choice of law or conflict or law rules or provisions that would cause the application of any other laws.

DISPUTE RESOLUTION Any controversy, claim or dispute arising out of or relating to any Promotion, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof in the State of New Jersey.

LIMITATION OF LIABILITY To the maximum extent permitted under applicable law, We are not responsible or liable for any direct, indirect, incidental or consequential, special, economic, exemplary, punitive or other damages under any contract, negligence, strict liability or other theory arising out of or relating in any way, directly or indirectly, to redemption of the Promotion, even if foreseeable or even if the We have been advised of the possibility of such damages.

MISCELLANEOUS No waiver of any of the provisions of these Master Offer Terms shall be deemed or shall constitute a waiver of any other provisions hereof, nor shall waiver constitute a continuing waiver unless otherwise expressly provided. If any provision of these Master Offer Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Master Offer Terms, which will otherwise remain in full force and effect.
